Abstract(s)
Os contratos, sejam de que categoria forem, estabelecem cláusulas e prazos que
são acordados por ambos os outorgantes. Acontece que os contratos de sociedade são
negócios jurídicos que criam uma entidade de natureza duradoura, a sociedade, que com
o tempo se modifica para se adequar às novidades da área ou para se adaptar às
circunstâncias que surgem. Ora, é neste âmbito que o direito de exoneração surge com um
importante papel na esfera jurídica do sócio.
O direito de exoneração resolve o problema do sócio que se sente desconfortável
na sociedade por esta não corresponder mais às suas expetativas, permitindo-lhe
desvincular-se da mesma.
O direito de exoneração pode ser utilizado unilateralmente e por vontade própria,
desde que exista um fundamento legal ou estatutário. A sociedade não pode em
circunstância alguma proibir ou limitar o exercício do mesmo (art.105º CSC).
Com a emissão da declaração de exoneração, o sócio obriga a sociedade a promover
a extinção da relação societária e o reembolso da participação social. Estas obrigações
encontram-se deficientemente tratadas no Código das Sociedades Comerciais (CSC), no
entanto, devem ser cumpridas sob pena de o sócio poder requerer a dissolução da
sociedade para ver o seu objetivo atingido.

As we all know, company contracts are legal deals that create an entity of a lasting nature, the society, which over time changes to suit the new features of the area or to adapt to the circumstances that emerge. It’s in this context that the right of resignation arises with an important role in the legal sphere of the associate. The right of resignation answers the problem of the partner that feels uncomfortable in the society because it does not meet his expectations, therefore he can be disassociated from it. The right of resignation may be used unilaterally and voluntarily, provided there is a legal or statutory ground. In no circumstances, may the company prohibit or limit the exercise of it (art. 105º Commercial Companies Code). With the issuance of the resignation declaration, the associate causes some obligations to society, such as: the obligation to promote the termination of the corporate relationship and the reimbursement of social participation. These obligations are insufficiently addressed in the Commercial Companies Code, but, they must be fulfilled under penalty of the partner being able to request the dissolution of the company to see its objective reached.
