A expressão "participação social" pode ser tomada em diferentes aceções: enquanto identifica a situação jurídica do sócio perante a sociedade, os outros sócios e terceiros e enquanto bem jurídico, conjunto dos direitos e vinculações que compõem a posição de sócio. Sendo a quota um bem, em caso de morte do seu titular, o normal é que haja a sua transmissão para os herdeiros do sócio falecido. Mas, o contrato social pode estipular que a quota não se transmita, e isto quer no interesse da sociedade ou dos outros sócios, quer no interesse dos próprios herdeiros do sócio falecido...
