| dc.description.abstract | Com o virar do século dá-se uma série de escândalos financeiros que assolam os mercados e desfalcam os investidores. Os casos mais mediáticos – Enron, WorldCom e Parmalat – ocorrem sobretudo devido à atuação fraudulenta dos seus gestores de topo lesando assim investidores e funcionários em milhões de dólares/euros. A presente dissertação tem por objetivo perceber, de uma maneira mais aprofundada, quais foram as causas que levaram ao colapso do Grupo BES/GES - um grupo com raízes portuguesas que ao longo dos anos se foi establecendo um pouco por todo o globo. Neste contexto, a revisão da literatura incidirá sobretudo em matérias relacionadas com a fraude e/ou engenharia financeira não descurando também a importante parte do governo societário. Após a revisão da literatura irá ser criado um modelo de análise com o intuito de verificar a atuação dos órgãos de supervisão, a veracidade das demonstrações financeiras e a aplicação de boas práticas de governo societário no sentido de se chegar a uma conclusão final no que diz respeito ao caso BES/GES. O principal objeto de estudo será o Relatório da Comissão Parlamentar de Inquérito à gestão do BES e do GES, relatório esse que é rico em depoimentos dos principais intervenientes. Como capítulo final, tecemos algumas considerações sobre toda a envolvente do caso em estudo, entre as quais, a ocultação de passivos, as falhas de controlo interno, a utilização de veículos para fins menos lícitos e as dificuldades de supervisão e de auditoria. | pt_PT |
| dc.description.abstract | With the turn of the century there is a series of financial scandals that devastate the markets and fail the investors. The most iconic cases – Enron, WordCom and Parmalat – occur mainly due to the fraudulent performance of their top managers thus hurting investors and employees in millions of dollars/euros. The purpose of this dissertation is to understand, in a deeper way, what were the causes that led to the fall of the BES/GES Group – a group with portuguese roots that over the yeres has been establishing around the globe. In this context, the literature review will mainly focus on matters related to fraud and/or financial engeneering, also not neglecting the importancy of corporate governance. After reviewing the literature, a model of analysis will be created with the purpose of verifying the performance of supervisory bodies, the veracity of financial statements and the application of good corporate governance practises in order to arrive to a final conclusion regarding the BES/GES case. The main object of study will be the Report of the Parlamentary Commission of Inquiry into the management of BES and GES, a report that is rich in testimony from the main players. As a final chapter, we have made some considerations about the whole context of the case under study, such as concealment of liabilities, internal control failures, the use of vehicles for less legitimate purposes, and the difficulties of supervision and auditing. | pt_PT |
