A pluralidade de informação disponível nas organizações conduz muita das vezes ao conflito de interesses das partes intervenientes e poderá afetar a estrutura organizacional e a criação de valor. Neste sentido, é necessária a existência de mecanismos que supervisionem a atuação dos intervenientes da organização e permitam o alinhamento de interesses.
A presente dissertação aborda a Corporate Governance (CG) nas Empresas de Eletricidade Cotadas em Portugal e tem como principal objetivo perceber como a CG atua nos diferentes modelos e como os mesmos afetam o desempenho das empresas.
O estudo recorre a uma metodologia qualitativa. Numa primeira fase foram analisados os regulamentos da Comissão do Mercado de Valores Mobiliários e os relatórios de CG das empresas estudadas de modo a recolher a informação útil e importante no que toca a atuação dos órgãos bem como identificar as recomendações e regras mais usadas. Após esta análise e sistematização foi importante a realização de entrevistas para consolidar e complementar a informação recolhida pelos relatórios. As entrevistas foram analisadas com recurso ao programa Nvivo que contribui para identificar a frequência de palavras e o assunto com maior destaque nas entrevistas. Da análise conjunta foi identificada a estratégia chave para o bom funcionamento da CG e por fim, foram calculados rácios mais relevantes para interpretar a semelhança do desempenho das entidades estudadas.
Este trabalho contribui para o estudo do CG em Portugal, descrevendo como empresas do mesmo setor de atividade, com modelos de CG distintos e com formas de atuação dos órgãos distinta podem ter igualmente bom desempenho. Cada empresa acaba por construir uma personalidade e estratégia diferente, mas sem retirar a importante eficácia e eficiência no sistema de regras e condutas entre a informação, administração e controlo.
The plurality of information available in organizations often leads to conflicting interests between the intervening parties and may affect the organizational structure and value creation. In this sense, it is essential to have mechanisms that oversee the performance of the organization's stakeholders and allow the alignment of interests. This dissertation addresses Corporate Governance (CG) in Electricity Companies Listed in Portugal and its main objective is to understand how CG acts in different models and how they affect the performance of companies. The study uses a qualitative methodology. In the first phase, the CG reports of the companies studied and the regulations of the Securities Market Commission were analyzed to gather useful and important information regarding the performance of the bodies, as well as to identify the most used recommendations and rules. After this analysis and systematization, it was important to perform interviews to consolidate and complement the information collected in the reports. The interview was analyzed using the Nvivo program, which helps to identify the frequency of words and the most prominent topic in the interview. From the joint analysis, the key strategy for the good functioning of the CG was identified and, finally, the most relevant ratios were calculated to interpret the similarity in the performance of the entities studied. This work contributes to the study of CG in Portugal, describing how companies in the same sector of activity, with different CG models and with different forms of action by different bodies, can both have a good performance. Each company ends up building a different personality and strategy, but without removing the important effectiveness and efficiency in the system of rules and conducts between information, administration and control.
