Abstract(s)
O presente trabalho de mestrado propõe-se apresentar uma reflexão, que se pretende
abrangente e aprofundada, sobre a figura da matrícula no âmbito da evolução histórica do
instituto do registo comercial, no ordenamento jurídico português.
Para o efeito, identificamos cinco períodos históricos perfeitamente demarcados por
diplomas legais específicos do registo comercial que caracterizaram cada uma dessas fases
evolutivas, as quais tiveram o seu início com o movimento codificador do segundo quartel do
século XIX, sob influência do pensamento filosófico e literário iluminista que acompanhou o
liberalismo económico, e que tiveram o seu “último acto” na reforma de 2006, que almejou
simplificar e agilizar a atividade registal comercial, implementando neste sector dos registos as
ferramentas digitais e adaptando-o à sociedade de informação em que vivemos.
Relativamente a cada um desses períodos procuraremos apontar os princípios jurídicos
que regularam o registo comercial, os factos e entidades sujeitos a registo, a eficácia e validade
dos atos publicitados, bem como nas figuras de técnica registal que foram sendo criadas e
aperfeiçoadas em cada um deles e muito especialmente analisando o papel que ao longo de
todos estes períodos foi acometido à figura da matrícula comercial.
Finalmente, analisaremos a papel que o direito registal vigente reserva à figura da
matrícula, contribuindo com uma atitude crítica do modelo vigente para a construção de um
novo quadro legal para esta figura, o que se nos afigura inevitável, e cujo resultado final
esperamos possa contribuir, em certa medida, para o reforço do instituto do registo comercial.
This master's thesis proposes to present a reflection, which is intended to be comprehensive and in-depth, on the historical evolution of the commercial registration institute, in the Portuguese legal system, dedicating particular attention to the figure of enrollment. For this purpose, we have identified five historical periods perfectly demarcated by specific legal diplomas from the commercial register that characterized each of these evolutionary phases, which began with the encoding movement of the second quarter of the 19th century, under the influence of Enlightenment philosophical and literary thought which accompanied economic liberalism, and which had its “last act” in the 2006 reform, which aimed to simplify and streamline commercial registration activity, implementing digital tools in this sector of registration and adapting it to the information society in which we live. For each of these periods, we will seek to point out the legal principles that regulated the commercial registration, the facts and entities subject to registration, the effectiveness and validity of the publicized acts, as well as the registration technique figures that were created and improved in each of them and very especially analyzing the role throughout all these periods was involved in the figure of commercial registration. Finally, we will analyze the role that the current registration law reserves to the registration figure, contributing with a critical attitude of the current model to the construction of a new legal framework for this figure, which seems inevitable to us, and whose final result we hope can contribute, to a certain extent, for the strengthening of the commercial registration institute.
